Terms of Use for ExpertMusic Services Version: 25 July 2026
This document is a business-to-business legal document for ExpertMusic services. It is drafted for use with the ExpertMusic application, website, web player, mobile application, radio channels, video channels and related business music services.
1. Provider These Terms of Use ("Terms") govern access to and use of ExpertMusic services provided by Expert Music Sp. z o.o., with its registered office in Warsaw, Poland, at Al. Armii Ludowej 6/164, 00-571 Warsaw, Poland, entered in the Register of Entrepreneurs of the National Court Register kept by the District Court for the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register, under KRS number 0000502608, NIP 7010414161, REGON 147119490, share capital PLN 50,000.00 ("ExpertMusic", "we", "us" or "our"). 2. Scope of the Terms These Terms apply to the ExpertMusic website, customer account, mobile application, web player, hardware player, music portal, radio channels, video channels, downloadable MP3 files, playlists, branded radio and video services, support services and any other product or service made available by ExpertMusic (together, the "Service"). The use of music and audiovisual content in a public business venue is also governed by the applicable ExpertMusic License Agreement, order, invoice, subscription plan and any product-specific rules presented before purchase.
3. Business use only The Service is intended for business customers and public venues, including cafes, restaurants, bars, hotels, gyms, fitness studios, beauty salons, retail stores, clinics and similar business locations. By creating an account, placing an order, starting a trial, paying an invoice or using the Service, you confirm that you act as a business customer or on behalf of a business customer and that you have authority to bind that business. The Customer expressly declares and confirms that entering into these Terms and using the Service is directly related to its commercial, business or professional activity and has a strictly professional character for the Customer within the meaning of Article 385^5 of the Polish Civil Code.
4. Definitions "Account" means the individual customer account used to access the Service. "Catalogue" means the current ExpertMusic catalogue of music, audiovisual works, playlists, radio channels, video channels and other content available through the Service. "Content" means music works, phonograms, audiovisual works, playlists, radio channels, video channels, MP3 files, branded announcements and other audio or video materials made available by ExpertMusic. "Customer", "you" or "your" means the business customer that uses the Service. "Location" or "Venue" means the business premises, public place or other physical location indicated in the order, invoice, account or license certificate. "Order" means the online order, paid subscription, invoice, pro forma invoice, checkout confirmation or other document confirming the selected products, period, location and price. "Plan" means the subscription or package selected by the Customer, including monthly, annual, lifetime, trial or individually agreed plans.
5. Account and registration To use paid Service features, you may be required to create an Account and provide accurate business, billing and venue information. You must keep this information complete and up to date. You are responsible for protecting your login details and for all actions performed through your Account. You must not share your login details with third parties or allow another business or venue to use your Account unless ExpertMusic expressly agrees in writing.
6. License to use the Service software Subject to these Terms, the License Agreement, the selected Plan and timely payment of all amounts due, ExpertMusic grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Service software during the applicable paid or trial period. This right does not transfer ownership of the Service, software, Content, trademarks, databases, interface, documentation or any intellectual property rights to you.
7. Use of Content in public venues Public playback or public display of ExpertMusic Content is permitted only within the scope of the applicable License Agreement, selected Plan, paid period and registered Venue. Unless expressly stated otherwise in the Order or License Agreement, one license applies to one registered Venue only. Multi-location use, chain use, franchise use, resale, sublicensing or use by another legal entity requires a separate written agreement or an appropriate multi-location plan. The exact scope of the license may depend on the selected Plan, country, Content type, delivery method, Venue and applicable law.
8. Restrictions You must not: a) copy, extract, reproduce, distribute, sell, lease, sublicense, publish, upload, broadcast, retransmit or otherwise make Content available outside the permitted use; b) use the Content as a soundtrack for advertising, social media, YouTube, TikTok, Instagram, films, podcasts, streams or any public online content unless ExpertMusic gives separate written permission; c) modify, remix, sample, remove metadata from, alter or create derivative works from the Content; d) use one Account, Plan or license for more Venues than permitted; e) combine the Service with unlicensed music, consumer streaming services or third-party content in a way that misrepresents the scope of the ExpertMusic license; f) bypass, disable, damage, overload, reverse engineer or attempt to gain unauthorised access to the Service; g) use automated scraping, bots or similar systems to access the Service in an abusive way; h) use the Service for unlawful, misleading or infringing purposes.
9. Availability of Content and Service changes ExpertMusic may update, replace, remove, add or modify Content, playlists, channels, features, applications, players, delivery methods and technical requirements at any time. You acknowledge that particular tracks, videos, playlists, channels, genres or features available at one time may not remain available permanently. ExpertMusic will use reasonable efforts to keep the Service suitable for its business purpose, but does not guarantee permanent availability of any specific item of Content.
10. Plans, trials, payments and invoices The price, billing period, currency, tax treatment, selected products, Venue and subscription period are stated in the Order, invoice, checkout page or Plan description. Access to paid products and licenses is provided after ExpertMusic receives full payment, unless ExpertMusic expressly grants a free trial or deferred payment terms. If a Plan renews automatically, it will renew for the next billing period unless it is cancelled in accordance with these Terms. ExpertMusic may issue a new order, invoice or payment request for the renewed period and may request automatic payment through the payment method used by the Customer. You are responsible for all taxes, charges and fees connected with your purchase, unless they are expressly included in the price.
11. No refund of paid fees Unless mandatory applicable law provides otherwise or ExpertMusic expressly agrees in writing, all amounts paid to ExpertMusic are final and non-refundable. Paid fees are not refunded if you do not use the Service, stop using the Service before the end of the paid period, choose the wrong Plan, provide incorrect data, fail to install or configure your devices, cancel after payment, or lose access because of your breach of these Terms. Cancellation stops future renewal only. It does not create a right to a refund for the current or previous paid period.
12. Cancellation of subscription You may request cancellation of subscription renewal at any time by contacting ExpertMusic support at support@expertmusic.net and completing the cancellation form or cancellation procedure provided by ExpertMusic. Cancellation is effective only if, on the date of the cancellation request, you have no outstanding debt or unpaid amounts due to ExpertMusic. If there are unpaid amounts, ExpertMusic may require you to pay them before processing cancellation. After cancellation, you may continue to use the paid Service until the end of the already paid billing period, unless your access is terminated earlier because of breach, non-payment or misuse.
13. Upgrade of Plan During an active subscription, you may request or purchase an upgrade to a more expensive Plan if such Plan is available. ExpertMusic may charge the price difference, a new Plan price, or another upgrade fee shown at checkout or agreed with you. Downgrades, reductions or partial cancellations are not automatic and do not entitle you to a refund unless ExpertMusic expressly agrees in writing.
14. Lifetime Plans If a Plan is described as "lifetime", it means access for the lifetime of the relevant ExpertMusic product or service line for the registered Customer and Venue, subject to these Terms, the License Agreement, technical availability, lawful operation, Content availability and normal product evolution. A Lifetime Plan is not transferable to another legal entity, Venue or country unless ExpertMusic agrees in writing. A Lifetime Plan does not guarantee that every feature, Content item, channel, application version or technical delivery method will remain unchanged forever.
15. Support Support is provided through written communication, primarily by email at support@expertmusic.net or through other written support channels made available by ExpertMusic. ExpertMusic is not obliged to provide telephone support unless it expressly agrees to do so. Support covers setup, account management, billing and licensing questions related to ExpertMusic products. ExpertMusic is not responsible for third-party hardware, internet access, sound systems, televisions, screens, operating systems, browsers, stores, marketplaces or third-party services.
16. Customer data and cooperation You must provide accurate company, tax, billing, contact and Venue information. If any information changes, you must promptly notify ExpertMusic by email. If you receive any claim, letter, demand, inspection notice or request from a right holder, collective management organisation, authority or third party concerning your public use of ExpertMusic Content, you must notify ExpertMusic at support@expertmusic.net without delay and, where possible, no later than five business days after receipt. You must provide copies of all relevant documents.
17. Intellectual property All intellectual property rights in the Service, software, databases, Content, website, applications, trademarks, designs, texts, images, videos, playlists, radio channels, video channels and documentation remain with ExpertMusic or its licensors. Except for the rights expressly granted under these Terms and the License Agreement, no rights are granted to you.
18. Customer materials and branded services If you provide logos, texts, advertising messages, voiceover scripts, images, videos, trademarks or other materials for branded radio, branded video or other customised services, you confirm that you have all rights and permissions required for ExpertMusic to use those materials. You are responsible for the legality, accuracy and compliance of your own advertising messages and customer-provided materials. ExpertMusic may refuse or remove materials that appear unlawful, misleading, infringing, discriminatory or harmful.
19. Third-party services The Service may depend on or integrate with third-party services, including hosting, payment processors, app stores, analytics, communication tools, internet providers and device manufacturers. Their services may be subject to separate terms and privacy policies. ExpertMusic is not responsible for failures, changes, prices, policies, outages or restrictions of third-party services outside its reasonable control.
20. Privacy ExpertMusic processes personal data in accordance with its Privacy Policy. By using the Service, you acknowledge that personal data may be processed for account management, billing, support, licensing, security, analytics and legal compliance purposes.
21. Service level and disclaimer ExpertMusic will use reasonable efforts to keep the Service operational. Technical problems, updates, maintenance, internet failures, device failures, third-party failures or force majeure events may result in temporary interruptions. To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available". ExpertMusic does not warrant that the Service will be uninterrupted, error-free, malware-free or permanently compatible with every device, operating system, browser, player or sound system.
22. Limitation of liability To the fullest extent permitted by applicable law, ExpertMusic is not liable for indirect, incidental, special, punitive or consequential damages, loss of profit, loss of revenue, loss of data, loss of goodwill, business interruption, third-party claims caused by Customer misuse, or damages resulting from third-party services, devices or internet access. Under no circumstances and regardless of legal theory may the total aggregate liability of ExpertMusic, its officers, employees, contractors, affiliates, suppliers or licensors exceed the total amount actually paid by the Customer to ExpertMusic for the affected Service, except in cases of intentional misconduct (wina umyślna) or where mandatory applicable law prohibits such limitation. This limitation applies even if a remedy fails of its essential purpose, to the maximum extent permitted by applicable law.
23. Indemnity You must indemnify and hold ExpertMusic harmless from claims, losses, damages, fines, costs and expenses arising from your breach of these Terms, misuse of the Service, unauthorised use of Content, incorrect data, unlawful customer materials or use of the Service outside the licensed scope.
24. Suspension and termination ExpertMusic may suspend or restrict access to the Service if payment fails, amounts are overdue, Customer data is incorrect, the Account is misused, the Service is used outside the licensed scope, these Terms are breached or suspension is necessary for security, legal or operational reasons. ExpertMusic may terminate the Account or refuse renewal if you materially breach these Terms, the License Agreement or any payment obligation. After termination or expiry, you must immediately stop using the Service and Content and delete any downloaded Content or local copies, unless ExpertMusic expressly allows continued use in writing.
25. Changes to these Terms ExpertMusic may amend these Terms for future use of the Service, including because of legal, technical, business, product or pricing changes. Updated Terms apply from the date they are published on the ExpertMusic website or otherwise communicated to you. If you do not agree to updated Terms, you must stop using the Service and cancel future renewal, subject to payment of any outstanding amounts.
26. Assignment ExpertMusic may assign or transfer its rights and obligations under these Terms to an affiliate, successor, purchaser of assets or another third party. You may not assign your rights or obligations without ExpertMusic's prior written consent.
27. Severability If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in force. The invalid or unenforceable provision will be replaced by a valid provision that most closely reflects its economic and legal purpose.
28. Governing law and disputes These Terms are governed by the laws of Poland, excluding conflict-of-law rules. Any dispute, claim or controversy arising out of or in connection with these Terms, the Service, the Order or the relationship between the parties shall be resolved by the competent Polish court having jurisdiction over the registered office of ExpertMusic, unless mandatory applicable law provides otherwise. ExpertMusic may bring proceedings for unlawful copying, distribution, infringement, non-payment or misuse in any court having jurisdiction where necessary to protect its rights.
